ABSTRACT

This chapter sets out the key concepts relating to the legal structure of company. The memorandum of association used to be a very signifi-cant part of the company's constitution in that it set out company's objects: that means, it specified the extent of the company's powers, whereas the articles of association principally set out company's internal rules but little more. As a result of Companies Act 2006, the memorandum of association is simply part of application process when forming a new company, whereas the articles of association now stand for whole of the company's constitution. The chapter considers important question of the circumstances in which company will bear responsibility for the acts of its employees or its agents for commission of wrongs, whether in tort or under the criminal law. It outlines the structure of companies, it has considered the powers and responsibilities of companies and their constitutions, and it has given a flavour of some of their key personnel.
