ABSTRACT

On February 3, 1988, Congress passed the 1991 amendments to Alaska Native Claims Settlement Act (ANCSA). The 1991 amendments also secured Alaska Natives their position as the intended beneficiaries of ANCSA. The amendments extended the land tax restriction and the non-Native vote indefinitely. These two provisions were automatic and did not require a shareholder vote or corporation amendment. The 1991 amendments are an indication that Congress intends to maintain a strong policy of self-determination through the ANCSA. When ANCSA took on the appearance of termination policy, Congress amended it in order to put it back on the track of self-determination. Congress has pursued several different policies, including that of assimilation, termination and self-determination, in order to cease the trust relationship. ANCSA created a fiduciary duty between the board of directors and the shareholders and it is the board, and not the federal government, that must now protect the rights and interest of the shareholders.
