ABSTRACT
The memorandum (as it is generally known) is sometimes termed the external constitution of the company. This document sets out certain key features of the company’s status. The memorandum is generally coupled together in the same document with the articles of association (the internal constitution of the company). Therefore, in practice, although they are referred to separately, the two parts of the constitution are submitted together to the registrar of companies.
