Transfer of technology therefore means transfer of knowledge and skills. The responsibility of the licensor to send his technical personnel to the licensee for explaining technical documentation and to provide technical instruction and service on design, manufacturing, inspection and test of the contract products must be clearly stated. The amount to be paid to the licensor in percentage terms of the total contract price by a stipulated date is included in this clause and the receipt of stipulated documents upon which payment will be made. The licensor ensures that the taxes and duties in connection with and in the implementation of the contract that may be levied by the host state shall be paid by the licensee. The period for which the performance guarantee supplied by the licensor to the contract factory remains valid must also be clearly stated.
