ABSTRACT

How do effective directors ensure they have sufficient assurances that compliance is in order?

Based on a framework of global corporate governance best practice, which can be used in all organisations anywhere in the world, this chapter of Questions To Ask (QTA) in the boardroom gives a high-level but succinct introduction to director’s considerations with regard to compliance.

All directors should ensure that they have good compliance awareness and training. They should have a clear idea of the role and importance of having a compliance programme.

The chapter considers how to build a culture of compliance and the board’s role in doing so. Ensuring that a compliance programme is in place is part of the director’s duties in most countries alongside exercising oversight of such programme. An effective compliance programme requires involvement and commitment from management, effective communication, ongoing monitoring, and effective oversight by the board.

The chapter’s introduction leads into outlining the key Questions To Ask in the boardroom, giving the reader further insight into how to initiate discussions about the practical details requiring the attention of the board.
