ABSTRACT

How do effective directors ensure that their contributions and decision-making are optimised with respect to the efficient functioning of the board and the long-term success of the organisation?

Based on a framework of global corporate governance best practice, which can be used in all organisations anywhere in the world, this chapter of Questions To Ask (QTA) in the boardroom gives a high-level but succinct introduction to board evaluation.

Board evaluation provides a catalyst for discussion and change, encouraging directors to step back from the day-to-day business in order to question the board’s contribution to the long-term health and success of the organisation, and its preparation for future challenges. Clearly this is not a compliance function. Conducting or commissioning a review is a critical decision; the process demands a combination of skills, maturity, and courage from the board; wisdom and perspective from the reviewer; and integrity and legitimacy from the process.

The chapter’s introduction leads into outlining the key Questions To Ask in the boardroom, giving the reader further insight into how to initiate discussions of the reviewer about the board evaluation as well as the practical logistical details requiring the attention of the board.
